Apex Golf Club Membership Agreement

(Tigard, Oregon)

1. Membership Tier & Benefits

This Agreement applies to all Apex Golf Club members, regardless of tier. Each Member’s rights, benefits, and monthly dues are based solely on the tier selected below.

Legacy Memberships: Memberships originating from the previous business, Envision Golf, are honored but are subject to all rules, policies, and conditions outlined in this Agreement.

All rates subject to change after one year with 30 days’ advance notice.

2. Term, Billing & Auto-Renewal

Annual Plan: 12-month commitment with no early cancellation. All remaining dues become immediately due as a termination fee. Prepaid annual dues and initiation fees are non-refundable.
Month-to-Month Plan: May be cancelled at any time with 30 days’ written notice.
All plans automatically renew unless Member provides 30 days’ written notice before the next billing cycle.

3. Oregon Right of Cancellation

Member may cancel within three (3) business days of signing by providing written notice. All payments will be refunded within 10 days if cancellation occurs within this period.

4. Access, Availability & Operating Hours

Members may book and play any time during posted operating hours. Membership numbers are limited but all bay use is first-come, first-served and subject to reservation availability.
Apex Golf Club may change hours or close for private events or other reasons at its discretion without refund.

5. Booking, Fair Use & Guests

Members may hold up to two active reservations at one time. Each reservation may be up to three hours, longer only with manager approval.
Fair Use prohibits excessive reservations without intent to play, habitual late cancellations, or no-shows. Apex Golf Club may charge a no-show fee not exceeding the value of the missed time and/or suspend booking privileges.
Each visit includes five guests free. Additional groups of up to five guests are $25. Member must be present with guests and is responsible for their conduct and damages.
Member discounts and promotions are for personal/guest use only and may not be resold or combined.

6. Conduct, Identification & Disparagement

Members and guests must comply with all rules, staff instructions, and laws.
Apex Golf Club may require ID or a membership photo to confirm identity.
Member agrees not to make or publish false, misleading, or malicious statements—verbally, in writing, or online—that could injure Apex Golf Club’s reputation or operations. This includes disruptive commentary on-site and defamatory social media posts. Apex Golf Club may suspend or terminate membership without refund and seek legal remedies for violations.

7. Health & Medical Disclosure

Member affirms they are physically able to participate and assumes all responsibility for consulting a physician as needed.

8. Billing Failure & Collection

If a payment method fails, Apex Golf Club will attempt contact and provide a 5-day grace period to update payment. After 5 days, access and booking privileges may be suspended.
After 30 days of delinquency, the full unpaid balance for the remaining term becomes immediately due. Apex Golf Club may use a collection agency or pursue legal action and Member agrees to pay reasonable collection costs and attorneys’ fees.

9. Liability Waiver & Indemnification

Member assumes all risks of personal injury, death, or property damage for themselves and their guests. Member releases and holds harmless Apex Golf Club and agrees to indemnify the club for claims or expenses arising from the acts of Member or guests.

10. Alcohol & Substance Policy

Alcohol service follows Oregon liquor laws. Service may be refused to anyone appearing intoxicated or underage. Illegal drugs or controlled substances are prohibited. Violation is grounds for removal and termination without refund.

11. Media & Photography Release

Member grants Apex Golf Club the right to photograph, film, or record Member and guests and to use such media for marketing purposes without compensation, unless Member opts out in writing.

12. Privacy & Data Use

Member consents to the collection and use of personal and play data for billing, scheduling, and marketing purposes, subject to privacy protections.

13. Minors & Guests Under 18

Membership is available only to individuals 18 years or older. Guests under 18 must be accompanied by a parent or guardian, who must sign a waiver and assume responsibility.

14. Non-Transferability

Membership is personal and non-transferable and may not be shared, sold, or assigned, except for corporate memberships with separate terms.

15. Additional Legal Provisions

Force Majeure: Apex Golf Club is not liable for events beyond its control.
Assignment & Successors: Agreement may be assigned to a successor or affiliate.
Notices: Effective when delivered personally, by certified mail, or email.
Survival: Payment, waiver, indemnification, and other key provisions survive termination.
Electronic Signatures: Digital signatures are valid.
Headings & Construction: Headings are for convenience only and not for interpretation.
Attorney’s Fees: The prevailing party in any action is entitled to reasonable attorney’s fees and costs.
Limitation of Liability: Apex Golf Club’s liability is limited to membership dues paid for the month in which an incident occurs.

16. Governing Law & Venue

This Agreement is governed by Oregon law, with venue in Washington County (Tigard). Member retains the right to pursue claims in Oregon state courts.

17. Entire Agreement

This Agreement, including the selected tier and its defined benefits, represents the entire understanding between the parties and supersedes all prior agreements or representations. Any amendment must be in writing and signed by Apex Golf Club.
